{"id":8715,"date":"2025-06-14T03:09:02","date_gmt":"2025-06-14T03:09:02","guid":{"rendered":"https:\/\/gunnewsusa.com\/index.php\/2025\/06\/14\/trump-clears-u-s-steel-sale-to-nippon-steel-but-details-of-merger-still-unclear\/"},"modified":"2025-06-14T03:09:03","modified_gmt":"2025-06-14T03:09:03","slug":"trump-clears-u-s-steel-sale-to-nippon-steel-but-details-of-merger-still-unclear","status":"publish","type":"post","link":"https:\/\/gunnewsusa.com\/index.php\/2025\/06\/14\/trump-clears-u-s-steel-sale-to-nippon-steel-but-details-of-merger-still-unclear\/","title":{"rendered":"Trump clears U.S. Steel sale to Nippon Steel, but details of merger still unclear"},"content":{"rendered":"<div id=\"\">\n<p>President Trump on Friday cleared the way for Japan-based Nippon Steel to potentially acquire U.S. Steel, though details about the structure of the deal \u2014 including a possible &#8220;golden share&#8221; held by the federal government \u2014 remain unclear.\u00a0<\/p>\n<p>The president signed an <a href=\"https:\/\/www.whitehouse.gov\/presidential-actions\/2025\/06\/regarding-the-proposed-acquisition-of-the-united-states-steel-corporation-by-nippon-steel-corporation\/\" target=\"_blank\" rel=\"nofollow noopener\">executive order<\/a> that says Nippon can buy the iconic Pittsburgh-based steelmaker as long as both parties sign a &#8220;national security agreement.&#8221;<\/p>\n<p>The two companies <a href=\"https:\/\/investors.ussteel.com\/news-events\/news-releases\/detail\/729\/president-trump-approves-historic-partnership-between-u-s\" target=\"_blank\" rel=\"nofollow noopener\">announced in a joint statement<\/a>\u00a0Friday that they agreed to the terms of the government&#8217;s national security agreement, which they said mandates $11 billion in new investments by 2028 and provides for &#8220;a Golden Share to be issued to the U.S. Government.&#8221;<\/p>\n<p>Nippon and U.S. Steel said they expect the deal \u2014 referred to as a partnership \u2014 to be &#8220;finalized promptly.&#8221; They thanked Mr. Trump, saying they &#8220;look forward to putting our commitments into action to make American steelmaking and manufacturing great again.&#8221;\u00a0<\/p>\n<p>Some details about the Nippon-U.S. Steel partnership are not clear. Mr. Trump <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/pittsburgh\/news\/president-trump-us-steel-ownership-comments\/\" target=\"_blank\" data-invalid-url-rewritten-http=\"\">said earlier this week<\/a><\/span>\u00a0that the government&#8217;s golden share would give the United States &#8220;51% ownership&#8221; and &#8220;total control&#8221; over U.S. Steel, but Japanese news outlet Nikkei Asia <a href=\"https:\/\/asia.nikkei.com\/Business\/Business-deals\/Nippon-Steel-needs-management-freedom-for-U.S.-Steel-deal-says-exec\" target=\"_blank\" rel=\"nofollow noopener\">quoted<\/a> an unnamed Nippon executive who said the company needs &#8220;management freedom&#8221; over the combined company.<\/p>\n<p>Mr. Trump <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/trump-us-steel-nippon-deal-pittsburgh-pennsylvania\/\" target=\"_blank\" data-invalid-url-rewritten-http=\"\">announced<\/a><\/span> <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/trump-us-steel-nippon-steel\/\" target=\"_blank\" data-invalid-url-rewritten-http=\"\">he would allow<\/a><\/span> a &#8220;partnership&#8221; between Nippon and U.S. Steel last month.<\/p>\n<p>The deal between Nippon and U.S. Steel has faced tumult and uncertainty since a nearly $15 billion merger was first proposed in late 2023. Former President Joe Biden <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/biden-us-steel-nippon-deal\/\" target=\"_blank\" data-invalid-url-rewritten-http=\"\">rejected the deal<\/a><\/span> on national security grounds in the waning weeks of his time in office, but Mr. Trump <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/pittsburgh\/news\/us-steel-new-review-trump\/\" target=\"_blank\" data-invalid-url-rewritten-http=\"\">ordered a new review<\/a><\/span> of the deal and suggested Nippon could agree to &#8220;invest heavily&#8221; in U.S. Steel&#8217;s facilities <span class=\"link\"><a href=\"https:\/\/www.cbsnews.com\/news\/trump-considering-allowing-sale-of-u-s-steel-to-nippon-steel\/\" target=\"_blank\" data-invalid-url-rewritten-http=\"\">rather than fully acquiring<\/a><\/span> the company.<\/p>\n<p>U.S. Steel has said the Nippon deal will allow for new investments in the company&#8217;s aging facilities, including its Mon Valley Works in the Pittsburgh area.
